Omega Pacific Announces LIFE Offering

(CSE:OMGA, OTCQB:OMGPF, FSE:Q0F) Omega Pacific Resources Ltd. has filed a listed issuer financing exemption offering document for a private placement offering (the LIFE Offering) of a minimum of $500,000 and a maximum of $1,000,000 in gross proceeds. The offering will consist of between 5,555,555 and 11,111,111 Units at a price of C$0.09 per Unit. Each Unit includes one common share and one share purchase warrant. Each warrant is exercisable at a price of C$0.13 per share for 24 months from the closing date. The warrants are subject to an acceleration clause: if the closing price of the shares on the Canadian Securities Exchange is equal to or greater than $0.25 for 15 consecutive trading days, the company may accelerate the expiry date of the warrants by issuing an acceleration notice, after which the warrants will expire on the 30th day following the notice. Net proceeds from the offering are intended to support future exploration activities at the company's Williams Property in BC's Toodoggone District and for general corporate and working capital purposes, as detailed in the offering document available on SEDAR+ and the company's website. Omega Pacific Williams Property Exploration Program Update

(CSE: OMGA) (OTCQB: OMGPF) Omega Pacific Resources Ltd. completed its 2026 sampling program at the Williams Property in British Columbia, focusing on the West GIC gold target and adjacent ROI porphyry target. A total of 255 rock, 181 soil, and 119 talus fines samples were collected across several targets spanning an east-west distance of over 5 km. Samples have been submitted for assay. The West GIC target contains orogenic-style gold mineralization within a 1,800 m geochemical anomaly and remains open in all directions. Sampling at ROI confirmed anomalous copper and very high molybdenum concentrations, coincident with mapped intrusions. Sampling also continued east of ROI on claims staked in 2024, with gossans at height of land extending over 600m. The company is now continuing with a drone LiDAR and magnetic survey at GIC (weather pending) and pad building in anticipation of the drill program commencing early to mid-September.

Omega Pacific Outlines 2026 Exploration Program at the Williams Property

The 2024 drill program encountered high-grade intersections of 6.22 g/t Au over 18.98 m (WM24-01) and bulk tonnage gold mineralization of 2.16 g/t Au over 96.9 m (WM22-02 ext) at the West GIC Gold Target. The 2026 program is scheduled to commence August 13, 2026 with mobilization of field crews to the property. The Phase 1 drill program will consist of 1,500-2,000 m on the gold mineralization footprint at the West GIC Gold target. Historical hole WM22-03 intersected 8 m of 4.64 g/t Au, and historical mechanical trenching samples returned up to 5 g/t Au. Gold mineralization is drill confirmed over a 750 m strike length, located within a 1,800 m gold geochemical anomaly. GIC is located within a 12 km long target with overlapping gold-copper rock and soil anomalism, magnetic trends and chargeability/resistivity anomalies from induced-polarization (IP) geophysical surveys.

Omega Pacific Closes Private Placement

(CSE: OMGA) Omega Pacific Resources Ltd. announced the proposed closing of the second and final tranche of its previously announced non-brokered private placement, resulting in the sale of 1,080,000 flow-through units at $0.21 per unit for gross proceeds of $226,800 and 1,500,000 non flow-through units at $0.20 per unit for gross proceeds of $300,000. The gross proceeds from the sale of FT Units will be used for a planned exploration program on the Williams Property, located in BC's Toodoggone District, while the net proceeds from the sale of the Units will be utilized for general working capital. Each FT Unit Warrant is exercisable at $0.30 per share for 18 months, and each Unit Warrant is exercisable at $0.30 per share for 24 months, both subject to early expiry conditions.
